Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and LawLedgers Inc. ("LawLedgers," "we," "us," or "our") governing your access to and use of the LawLedgers platform, including all related websites, applications, and services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

If you are using the Service on behalf of a law firm or other legal entity ("Organization"), you represent that you have authority to bind that Organization to these Terms, and "you" refers to both you individually and the Organization.

2. Description of Service

LawLedgers is a cloud-based trust accounting platform designed for law firms and legal professionals. The Service helps you manage Interest on Lawyers' Trust Accounts (IOLTA) in compliance with ABA Model Rule 1.15 and applicable state rules governing the safekeeping of client property. The Service includes:

• Trust account and client sub-ledger management
• Deposit, check, and ACH transfer tracking
• Three-way trust account reconciliation
• Bank feed integration via Plaid
• Accounting sync via QuickBooks Online
• Intelligent document processing (PDF extraction, OCR)
• Audit trail and compliance reporting
• Practice management integration (Clio, Filevine)

3. Accounts and Registration

To use the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

Each account is associated with an Organization. The Organization administrator ("Admin") controls user access, roles (Admin, Attorney, Staff), and data within the Organization. You must notify us immediately at support@lawledgers.com if you suspect unauthorized access to your account.

4. Subscriptions and Payment

Access to the Service requires a paid subscription. Subscription plans, pricing, and seat limits are displayed at checkout and in your billing portal. All fees are billed in advance on a recurring basis (monthly or annually) via Stripe.

• Free trial: We may offer a free trial period. At trial expiration, your subscription converts to a paid plan unless canceled.
• Payment failure: If payment fails, your account enters read-only mode. Continued non-payment may result in account suspension.
• Cancellation: You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of your current billing period. No refunds are issued for partial billing periods.
• Price changes: We may change pricing with 30 days' notice. Continued use after a price change constitutes acceptance.

5. Your Data and Content

You retain all ownership rights to the data, documents, and content you upload or create through the Service ("Your Data"). You grant LawLedgers a limited, non-exclusive license to process, store, and transmit Your Data solely to provide and improve the Service.

Trust accounting data is yours. We do not sell, share, or use Your Data for advertising. If you cancel your subscription, you may export Your Data for 90 days after cancellation. After 90 days, we may delete Your Data, except where retention is required by law or for compliance with record-keeping obligations.

6. Third-Party Integrations

The Service connects to third-party services to provide its functionality. By enabling these integrations, you authorize LawLedgers to access and transmit data to and from these services on your behalf:

• Plaid: Connects your bank accounts for transaction feeds and balance verification. Plaid's use of your data is governed by Plaid's End User Privacy Policy.
• QuickBooks Online (Intuit): Syncs trust account transactions as journal entries. Your use is subject to Intuit's Privacy Statement.
• OpenAI: Powers intelligent document extraction (deposit checks, closing statements, payment instructions). Document content is sent to OpenAI for processing. OpenAI's API data is not used to train their models.
• Amazon Web Services (AWS): Provides OCR via Textract and infrastructure hosting. Data processed under AWS's Privacy Notice.
• Stripe: Processes subscription payments. Governed by Stripe's Privacy Policy.
• Clio / Filevine: Optional practice management integrations for matter sync and payment instructions.

We are not responsible for the practices or policies of third-party services. You should review their terms before enabling integrations.

7. Compliance and Regulatory Disclaimer

LawLedgers is designed to assist with trust accounting in accordance with ABA Model Rule 1.15 and related state bar rules. However:

• The Service is a tool, not legal advice. You are solely responsible for ensuring your trust accounting practices comply with the rules of your jurisdiction.
• State rules vary. ABA Model Rule 1.15 is a model rule; your state bar may impose additional or different requirements. You must verify that your use of the Service meets your specific state's requirements.
• You remain the custodian. LawLedgers does not hold, custody, or control any client funds. All funds remain in your bank accounts under your control.
• Audit readiness, not audit guarantee. While the Service maintains immutable audit trails and reconciliation reports, we do not guarantee that use of the Service will satisfy any specific regulatory audit or examination.

8. Data Security

We implement industry-standard security measures to protect Your Data, including:

• Encryption of data in transit (TLS) and at rest
• Encrypted storage of third-party API tokens (Plaid, QuickBooks)
• Role-based access controls and organization-level data isolation
• Immutable audit logs with PII redaction in system logs
• BCrypt password hashing

No system is completely secure. While we strive to protect Your Data, we cannot guarantee absolute security. You are responsible for maintaining the security of your own credentials and systems.

9. Prohibited Uses

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable laws or regulations
• Attempt to gain unauthorized access to the Service, other accounts, or our systems
• Interfere with or disrupt the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated means (bots, scrapers) to access the Service without our written consent
• Sublicense, resell, or redistribute the Service to third parties
• Upload malicious files, viruses, or harmful code

10. Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control.

We may modify, update, or discontinue features of the Service at any time. For material changes that negatively affect your use, we will provide reasonable advance notice.

11. Intellectual Property

The Service, including its software, design, documentation, and branding, is owned by LawLedgers and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAWLEDGERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO LAWLEDGERS IN THE 12 MONTHS PRECEDING THE CLAIM.

LAWLEDGERS IS NOT LIABLE FOR ANY REGULATORY PENALTIES, BAR DISCIPLINE, OR MALPRACTICE CLAIMS ARISING FROM YOUR USE OF OR RELIANCE ON THE SERVICE. YOU ARE SOLELY RESPONSIBLE FOR YOUR COMPLIANCE WITH APPLICABLE RULES OF PROFESSIONAL CONDUCT.

13. Indemnification

You agree to indemnify, defend, and hold harmless LawLedgers, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your negligence or willful misconduct in managing trust accounts.

14. Termination

Either party may terminate this agreement at any time. You may terminate by canceling your subscription and ceasing use of the Service. We may suspend or terminate your access if you violate these Terms, fail to pay fees, or if required by law.

Upon termination, your right to use the Service ceases. You will have 90 days to export Your Data. Provisions that by their nature should survive termination (including Sections 5, 12, 13, and 15) will survive.

15. Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware or remotely at the parties' mutual agreement.

Class action waiver: You agree that any disputes will be resolved individually and not as part of a class, consolidated, or representative action.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
